Terms of Service.
Effective Date: August 21, 2026 · COTID Inc.
These Terms of Service ("Terms") govern Your access to and use of the COTID™
desktop application and the cotid.ai website (collectively, the "Service") provided
by COTID Inc. ("COTID," "we," "us").
Acceptance of Terms.
By downloading, installing, accessing, or using the Service, You agree to be bound by these Terms and by our Privacy Policy, which is incorporated herein by reference. If You do not agree to these Terms, You may not download, install, or use the Service.
Eligibility.
You must be at least 13 years of age (or the equivalent minimum age in Your jurisdiction) and legally capable of entering into a binding contract to use the Service. If You use the Service on behalf of an entity, You represent that You have authority to bind that entity to these Terms.
The Service.
COTID™ is a desktop application for macOS that provides an on-device AI assistant together with document editing, tables, diagrams, notes, task extraction, and private web research. All AI processing occurs locally on Your hardware. Certain ancillary functions — account authentication, license verification, payment processing, software updates, and any optional metric sharing You enable — require network connectivity as described in the Privacy Policy.
License Grant.
Subject to Your compliance with these Terms and payment of applicable fees, COTID grants You a limited, personal, non-exclusive, non-transferable, revocable license to download, install, and use the Service on devices that You own or control, for Your own internal purposes.
Restrictions.
You shall not, directly or indirectly: (a) copy, redistribute, sublicense, rent, lease, sell, or resell the Service; (b) reverse-engineer, decompile, disassemble, or attempt to derive the source code or underlying models or methods of the Service, except to the extent expressly permitted by applicable law; (c) modify, adapt, translate, or create derivative works of the Service; (d) circumvent or disable any licensing, security, or technological protection measures; (e) remove, alter, or obscure any proprietary notices contained in the Service; or (f) use the Service to develop a competing product or service.
Free Trial; Billing; Renewal; Cancellation.
6.1 Free trial
The Service includes a fourteen (14) day free trial with full access. A valid payment method is collected at signup but is not charged until the trial ends. One trial per customer unless otherwise permitted by us.
6.2 Billing
Subscriptions are billed in advance on a recurring basis (monthly or annually) at the rates displayed at checkout. Prices are exclusive of applicable taxes, which are added where required. Payments are processed by Stripe, Inc.; we do not store Your full payment-card details.
6.3 Renewal
Your subscription renews automatically at the end of each billing period unless cancelled before the renewal date through Your account settings or by contacting support@cotid.ai.
6.4 Cancellation and refunds
You may cancel at any time; access continues until the end of the paid billing period. Except where required by applicable law, fees already charged are non-refundable.
Your Content.
You retain all right, title, and interest in and to the documents, data, and other materials You create, import, or process through the Service ("Your Content"). Your Content is stored and processed locally on Your device and is not transmitted to us. You grant COTID no license to Your Content except the limited, local processing right necessary to operate the Service on Your device at Your direction. You are solely responsible for maintaining backups of Your Content.
Acceptable Use.
You shall not use the Service: (a) in violation of any applicable law or regulation; (b) to infringe, misappropriate, or violate the rights of any person; (c) to generate or distribute unlawful, harmful, deceptive, defamatory, obscene, or discriminatory content; (d) to develop, train, or improve any competing AI model or service using outputs of the Service; or (e) to interfere with, disrupt, or attempt to gain unauthorized access to the Service, our systems, or our third-party providers' systems.
AI-Generated Output.
Output generated by On-Device AI may be inaccurate, incomplete, or misleading. You are responsible for reviewing, verifying, and exercising independent judgment regarding all output before relying on it, and for ensuring that Your use of output complies with applicable law, including any disclosure obligations relating to AI-generated content. To the maximum extent permitted by law, COTID makes no warranty as to the accuracy, completeness, or fitness for purpose of any output.
Intellectual Property; Trademarks; Patents.
The Service, including the application software, models, designs, and documentation, is owned by COTID Inc. and its licensors and is protected by intellectual-property laws. COTID™, DiffusionScope™, and TID™ are trademarks of COTID Inc. The DiffusionScope™ interpretability architecture and privacy-preserving improvement method are patent pending. Nothing in these Terms transfers ownership of any intellectual-property rights to You.
Third-Party Services.
The Service relies on certain third-party providers for hosting (DigitalOcean), authentication (Supabase), and payment processing (Stripe). Your use of their services is additionally subject to their respective terms and privacy policies, available on their websites. Third-party model downloads performed at first launch are governed by the licenses accompanying those models.
Disclaimer of Warranties.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. COTID DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPATIBLE WITH ALL HARDWARE OR SOFTWARE CONFIGURATIONS.
Limitation of Liability.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL COTID BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOSS OF DATA, OR LOSS OF GOODWILL, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE. COTID'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS SHALL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Indemnification.
You shall defend, indemnify, and hold harmless COTID Inc. and its officers, directors, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from Your use of the Service, Your Content, or Your breach of these Terms.
Term and Termination.
These Terms take effect when You first access the Service and continue while it is in use or Your subscription is active. Either party may terminate at any time; You may terminate by deleting the application and cancelling Your subscription. Upon termination, the license grant in Section 4 ceases, and Sections 7 through 14 survive.
Governing Law; Dispute Resolution.
These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Delaware, and each party submits to the personal jurisdiction of those courts. To the extent permitted by law, disputes shall be resolved individually and not as part of any class or representative proceeding.
Changes to These Terms.
We may modify these Terms from time to time. Material changes will be announced in the application or by email before taking effect. Continued use of the Service after the modified Terms take effect constitutes acceptance of the modified Terms.
Miscellaneous.
If any provision of these Terms is held unenforceable, the remainder remains in full force and effect. These Terms, together with the Privacy Policy, constitute the entire agreement between You and COTID regarding the Service. We may assign these Terms without notice in connection with a merger, acquisition, or sale of assets. Questions regarding these Terms may be directed to legal@cotid.ai.
